The report:

The Management Board of PKO Bank Polski (the "Bank") informs that Ms. Iwona Duda resigned from the function of the President of the Bank's Management Board as well as from the composition of the Bank's Management Board with the effect at the end of 9 August 2022.

The Supervisory Board thanked President Iwona Duda for her contribution to the development of the Bank.

The Bank’s Supervisory Board has appointed Mr. Paweł Gruza from 10 August 2022 to perform the function of the Vice -President of the Management Board for the current joint term of office of the Bank’s Management Board, which started as of 3 July 2020, and subject to approval  of the Polish Financial Supervision Authority and as of the date of this approval being granted for the position of the President of the Management Board. Until such approval by the Polish Financial Supervision Authority, the Supervisory Board has entrusted Mr. Paweł Gruza with directing the work of the Management Board.

Paweł Gruza

From 10 September 2018 he held the position of the Vice-President of the Management Board (International Assets) in KGHM Polska Miedź S.A.

Graduate of the Warsaw University, Faculty of Law and Administration.

An Undersecretary of State in the Ministry of Finance since November 2016. Co-author of the tax reform. An Undersecretary of State in the Ministry of the State Treasury from April to November 2016. He managed a portfolio of companies with State Treasury ownership and state legal entities. He worked on reforming supervision over State Treasury companies. An expert and a management board member of Fundacja Republikańska (Republican Foundation) from 2007 to 2016. As a representative of the minister responsible for financial institutions he was also a member of the Polish Financial Supervision Authority.

He was a partner and a management board member of MMR Consulting sp. z o.o., as well as a partner in the tax consultant office GWW Tax from 2007 to 2016. He worked in the Artur Andersen and Ernst & Young consultancy companies from 2000 to 2006. He managed interdisciplinary consultant projects for Polish and international companies from the industrial and financial sector.

Author and co-author of numerous publications on taxes and social security.

 

According to the submitted statement Mr. Paweł Gruza does not carry out any activities in competition with the Bank, in particular having the status of a partner in a civil law partnership or partnership or company which is in competition with the Bank, holding the position of a member of a body of any other legal entity which is in competition with the Bank or carrying out business activities on his own in competition with the Bank. Mr. Paweł Gruza is not registered in the Register of Insolvent Debtors, maintained on the basis of the Act of 20 August 1997 on the National Court Register.
