Legal basis: Paragraph 5.1.22 of the Ordinance of the Minister of Finance on current and periodical information provided by issuers of securities of 19 October 2005 The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna hereby informs that on 22 February 2007 the Supervisory Board adopted resolutions appointing:
- Mr. Robert Działak for the position of the Vice - President of the Bank’s Management Board, as of 23 February 2007,
- Mr. Stefan Świątkowski for the position of the Vice - President of the Bank’s Management Board, as of 1 May 2007,
According to the adopted resolutions Mr. Działak and Mr. Świątkowski are appointed for the above positions for the joint term of office of the board which has started on 19 May 2005. Robert Działak 37 years old. In 1997 he graduated from Budapest University of Technology and Economics as a Master of Phisycal Science. In 2003 he received a degree of Master of Business Administration at Warsaw School of Business within an MBA program in cooperation with London Business School. In 1999 he finished postgraduated studies in finance at Marketing and Finance School in Warsaw. In 1998-2005 he worked in Citibank where he coordinated the Year 2000 Project and held various positions: Business Information Officer; Head of Credit Verification Unit; Coordinator of Integration during the process of merger between Citibank and Bank Handlowy; Director of Internet Products; Alternative Distribution Channels Director in the Retail Sales Department in Citibank (Hungary) Rt.; Loans Director in the Retail Marketing Department in Bank Handlowy. Since February 2006 he has been working in PKO BP SA, he has been Director of the Corporate Banking Department. Stefan Świątkowski 41 years old. In 1990 he was graduated as a Master of Matematics at the Technical University of Lodz, in 1991 he granted M.Sc. of Matematics at the Univeristy of Leeds in Great Britain and MBA of INSEAD in Fountainbleau in France. In 1991-1992 he was Assistant at the Matematics Institute in the Technical University of Lodz. In 1992-1994 he worked as Business Analyst in McKinsey & Company Poland. In 1998-2002 he worked in Bank Handlowy in Warsaw where he was: Advisor to the CEO, Director of the Integration Office, Director of the Loan Portfolio Management Department and Director of the Strategy Department, In 2002-2006 he was Director of the Asset and Liabilities Management and Risk Control Department in Lukas Bank in Wrocław. Since March 2006 he was CFO in European Leasing Fund in Wrocław. The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna informs:
- Mr. Robert Działak:
- does not conduct any business outside of PKO BP SA competitive to the business of PKO BP SA,
- does not participate in any business competitive in respect of PKO BP SA as a partner in a partnership.,
- is not a member of a governing body of a company competing with PKO BP SA or a member of any other legal person competing with PKO BP SA,
- is not registered in the Register of Insolvent Debtors.
- Mr. Stefan Świątkowski:
- since 1 May 2007 will not conduct any business activity outside of PKO BP SA competitive to the business of PKO BP SA.,
- does not participate in any business competitive in respect of PKO BP SA as a partner in a partnership.,
- is not a member of a governing body of a company competing with PKO BP SA or a member of any other legal person competing with PKO BP SA,
- is not registered in the Register of Insolvent Debtors.
