Legal grounds: Art. 56.1.1 of the Law of 29 July 2005 on Public Offering, Conditions for Introducing Financial Instruments to an Organised Trading System, and on Public Companies The report: Following the notification to the Financial Supervision Authority of the delay in publishing confidential information, filed on 25 September 2007 in accordance with Art. 57.1 of the Law of 29 July 2005 on Public Offering, Conditions for Introducing Financial Instruments to an Organised Trading System, and on Public Companies, and in supplementing the information contained in Current Report No. 43/2007 of 25 September 2007, the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (“PKO BP SA”) hereby publishes details of the abovementioned bond issue:

  1. The total nominal value of the bonds is PLN 1,600,700,000.
  2. The bonds were issued pursuant to the Bonds Act and the proceeds from their issue were allocated to increase the PKO BP SA’s supplementary funds pursuant to Art. 127.3(b) of the Banking Act.
  3. The nominal value of one bond is PLN 100,000.
  4. The issue price of one bond is equal to the bond nominal value.
  5. The bond interest is calculated semi-annually on the bond nominal value, at a variable rate equal to WIBOR 6M+ plus a margin of 100 bp p.a. Should PKO BP SA fail to exercise its right of early redemption of all the bonds after five years from the issue date (the “Call Option”), the bond interest rate will be increased by an additional margin of 25 bp p.a.
  6. Payments under the bonds will be exclusively of monetary nature.
  7. Projections of liabilities under the bonds until their complete redemption should be estimated on the basis of statements and information provided by PKO BP SA as a public company, in accordance with the Law of 29 July 2005 on Public Offering, Conditions for Introducing Financial Instruments to an Organised Trading System, and on Public Companies.

The value of the PKO BP SA’s liabilities as at 30 June 2007 was PLN 91,378,708,000. In accordance with the notification to the Financial Supervision Authority, this information was to have been published by 31 October 2007.
