Legal basis: Paragraph 5.1.22 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and the conditions for regarding information required by the law of a non-member state as equivalent The report: The Management Board of PKO Bank Polski S.A. (“Bank”) hereby informs that Bank's Supervisory Board, according to resolution dated 1 September 2010, appointed Mr. Piotr Stanisław Alicki as of 2 November 2010 for the position of the Vice - President of the Bank’s Management Board for the joint term of office of the board which has started on 20 May 2008. Information about appointed member of the Management Board: Piotr Stanisław Alicki Piotr Stanisław Alicki (45) graduated from the Faculty of Mathematics and Computer Science, Adam Mickiewicz Univeristy in Poznań His professional carrier started in 1987 when he began working for MERAMONT, a company which specialised in automated systems. From 1990 to 1998 he was employed in the IT Department of the Pomorski Bank Kredytowy (Pomeranian Credit Bank) and in 1997 he became Director of the IT Department. His duties included managing development, implementation and operation of transaction systems used by the bank. In 1999 he started working as Vice-Director of the IT Research and Development Department in the Bank Pekao SA and subsequently became its Director. In 2006 he became Chief Information Officer in the Bank Pekao SA. Besides managing the merger of computer systems of four banks (Pekao SA, PBKS SA, BDK SA, PBG SA) and implementing the integrated IT system in the Bank Pekao SA, Mr Alicki also managed the carrying out of IT business analyses for Bank Pekao SA. As the Manager of Data Migration Activities in the Bank Pekao SA, he supervised the integration of this Bank's IT systems with those of the Bank BPH SA and also he managed the process of data migration from the the Bank BPH SA to the Bank Pekao SA. He was a member of the Team responsible for management and preparation of merging certain departments of the BPH SA with the Bank Pekao SA. Between 1999 and 2001 Mr Piotr Stanisław Alicki participated in the works of the Polish Bank Association in the following committees or commissions: Banking Infrastructure Committee Payment System Committee, Technical Committee for Banking and Banking Financial Services, Electronic Banking Council Presently. Since 2002 Mr Alicki has been representing the Bank Pekao SA in the Payment System Council at the National Bank of Poland. Since 2000 was a member of Supervisory Board of the Krajowa Izba Rozliczeniowa (National Accounting Chamber) and in 2005 he became its chairman. Mr Alicki is also a memeber of Advisory Board of the Centrum Kart SA (Cards Issuers Centre) and of the Centralny Dom Maklerski Pekao SA (Central Stockbroking House). The Management Board of the Bank informs that Mr. Piotr Stanisław Alicki stated:
- since 2 November 2010 he will not conduct any business activity outside of PKO Bank Polski SA competitive to the business of PKO Bank Polski SA.,
- he does not participate in any business competitive in respect of PKO Bank Polski SA as a partner in a partnership.,
- since 2 November 2010 2010 he will not be a member of a governing body of a company competing with PKO Bank Polski SA,
- he is not a member of a governing body of any other legal person competing with PKO Bank Polski SA.,
- he is not registered in the Register of Insolvent Debtors.
