Legal basis: Paragraph 5.1.21 and 22 of the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state The report: The Management Board of PKO Bank Polski SA hereby informs that on 6 June 2012, pursuant to Art. 385§1 of the Commercial Companies Code, the PKO Bank Polski SA Ordinary General Meeting dismissed with effect as of 6 June 2012 a member of the PKO Bank Polski SA Supervisory Board Ms Ewa Miklaszewska. The Management Board of PKO Bank Polski SA hereby informs, that pursuant to Art. 385 § 1 of the Commercial Companies Code, the PKO Bank Polski SA Ordinary General Meeting on 6 June 2012 - appointed Ms Zofia Dzik as a member of the PKO Bank Polski SA Supervisory Board. Information about the appointed PKO Bank Polski SA Supervisory Board member: Zofia Dzik Ms Zofia Dzik is a graduate of the Cracow University of Economics, University of Illinois in Chicago, University of Social Sciences and Humanities in Warsaw and Executive Programs in INSEAD Business School, she is also MBA of Manchester Business School and a certified member of the Association for Project Management (APMP). In the years 1995–2003 she worked as a consultant in Andersen Business Consulting. From 2003 engaged in Intouch Insurance Group (t present: RSA), where in the years 2004–2007 she performed a function of the President of the Board of Directors of TU LINK4 S.A., whereas in the years 2007–2009 a function of a Member of the Board of Directors of Intouch Insurance B.V. in the Netherlands and the CEO for East-Central Europe of Intouch Insurance Group. She was in charge of development of new markets – she was the Chairman of the Supervisory Boards of the following companies: TU Link4 S.A. and Direct Insurance Shared Services Center in Poland, Intouch Strachowanie in Russia and Direct Pojistovna in the Czech Republic, as well as the Vice-Chairman of the Supervisory Board of TU na Życie Link4 Life S.A. In the years 2006–2008 a Member of the Board of Directors of the Polish Insurance Association. In the years 2007–2010 a Member of the Supervisory Board of the Insurance Guarantee Fund. At present she is a the President of the Board of Directors of Fundacja Humanites – Sztuka Wychowania and a Member of the Supervisory Boards of the companies: TU Link4 SA, ERBUD SA, Polish Energy Partners SA and KOPEX SA. The Management Board of PKO Bank Polski SA informs that Ms Zofia Dzik stated that: - she doesn’t conduct any business activity outside of PKO Bank Polski SA competitive to the business of PKO Bank Polski SA, - she does not participate in any business competitive in respect of PKO Bank Polski SA as a partner in a partnership, - she is not a member of a governing body of a company competing with PKO Bank Polski SA, - she is not a member of a governing body of any other legal person competing with PKO Bank Polski SA, - she is not registered in the Register of Insolvent Debtors.
