The text below is an unofficial translation of the report disclosed by PKO BP pursuant to the Polish Act on Public Trading in Securities of 21 August 1997 (as amended). The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna informs that pursuant to § 15.7 and § 15.8 of the Bank’s Statutes, the Supervisory Board of PKO BP SA adopted on 15 September 2005 three resolutions appointing:
- Ms Danuta Demianiuk for the position of the Deputy President of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna,
- Ms Krystyna Szewczyk for the position of a Member of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna,
- Mr Piotr Kamiński for the position of a Member of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna.
According to the adopted resolutions, the above managing persons were appointed for the above positions as of 16 September 2005 for the joint term of office of the Board which has started on 19 May 2005. Information about the appointed Management Board Members: Danuta Demianiuk — Deputy President of the Management Board Ms Demianiuk, 56, has been Deputy President of the Management Board of PKO BP SA since 2 January 2003, overseeing the Banking Risk Division, Credit Risk Assessment Department, Work-out and Collections Operations Division, and Service Division. She is the chairman of the Bank Credit Committee, deputy chairman of the Assets and Liabilities Committee, member of the Steering Committee of Integrated Information System in the PKO BP SA Headquarters, deputy chairman of the Steering Committee for the Implementation of the PKO BP SA Branches Modernization Program. She is a graduate of the University of Warsaw Faculty of Law and Administration and she qualified as a legal adviser. She did her court training in the district of the Voivodship Court in Warsaw. In 1994, she completed “Modern Bank Management” course at The College of Management, Institute of Banking in Warsaw. She commenced her professional career in 1966 at the Warsaw-Mokotów Town Council Presidium where she worked until 1971 first as a trainee and later as an inspector. Between 1971 and 1990, she worked at the Ministry of Finance in the Taxes and Fees Department starting as a clerk and moving on to the position of department director. Between 1990 and 1992, she was an Under-Secretary of State at the Ministry of Finance. Between 1992 and 2002, she was the first deputy of the president and director of the legal department at the Agency for Agricultural Property of the State Treasury (Agencja Własności Rolnej Skarbu Państwa). She is deputy chairman of the supervisory board of PTE Bankowy, a subsidiary of the Bank. During the years 1988 to 1990, she was a lecturer at the Postgraduate Tax Program of the Warsaw University. She has also served as chairman of the supervisory board of Bank Rolno-Przemysłowy S.A., deputy chairman of the supervisory board of Towarzystwo Ubezpieczen w Rolnictwie i Gospodarce Żywnosciowej Agropolisa S.A. and deputy chairman of the supervisory board of Pomorskie Hurtowe Centrum Rolno-Spożywcze Renk S.A. in Gdansk. Krystyna Szewczyk — Member of the Management Board Ms Szewczyk, 53, has been a member of the Management Board of PKO BP SA since 14 May 2004, overseeing as a managing director the Information, Accounting and Settlement Divisions, Bureau of Integrated Information System Project and Security Department. She is a deputy chairman of the Steering Committee of Integrated Information System in the PKO BP Headquarters. She earned a degree in economics at the School of Economics (Akademia Ekonomiczna) in Poznań. She also completed there postgraduate studies in Organisation and Management, postgraduate studies in Insurance at the Higher School of Insurance and Banking (Wyższa Szkoła Ubezpieczeń i Bankowości) in Warsaw and postgraduate studies in Management and Financial Counselling at the Warsaw School of Economics (SGH). She is also qualified as an expert auditor and has completed several specialist courses in banking and finance. She started her professional career in 1975 at Słupskie Przedsiębiorstwo Instalacji Budownictwa, where she worked as a senior accountant. Between 1976 and 1980, she worked at Biuro Projektów Polsport as an economic specialist. In the years 1980 to 1983, she worked at a branch of the National Bank of Poland in Koszalin as a loan specialist. Between 1983 and 1988, she was employed at Regionalne Zrzeszenie Przedsiębiorstw Budownictwa Rolniczego in Koszalin as the head accountant. From 1988 until 1996, she worked at TUiR Warta (insurance and reinsurance company) as head accountant in the Koszalin branch (until 1993), and, subsequently, as director of the Finance and Accounting Office and head accountant at the headquarters of TUiR Warta in Warsaw. From 1996 to 2002, she worked at Powszechny Bank Kredytowy S.A. as director responsible for settlements and as head accountant in charge of settlements. She has also served on the supervisory boards of the following companies: Kredyt Bank S.A., Warta-Tim Towarzystwo Inwestycyjne S.A., TU PBK Życie S.A., TUiR Warta S.A. and Krajowa Izba Rozliczeniowa S.A. Since 25 August 2004 she is the chairman of the supervisory board of CEUP eService, a subsidiary of the Bank and since 6 January 2005 she is the chairman of the supervisory board of Centrum Obsługi Biznesu Sp. z o. o. Piotr Kamiński — Member of the Management Board Mr. Kamiński has been a member of the Management Board of PKO BP SA since 10 March 2003, overseeing Structural Finance and Corporate Banking Divisions, Treasury, Corporate Client Marketing Departments, Cash Management Centre and regional corporate branches. He is the deputy chairman of the Bank Credit Committee. He graduated from the University of Warsaw with a master’s degree in organisation and management. He completed postgraduate studies Tempu CUBIS in management (Milan, Amsterdam, Leuven), participated in many courses, seminars and conferences on capital markets, project finance and social insurance (USA, Great Britain, France, Italy). He started his professional career in 1988 at the School of Electronics where he worked until 1989 as an electronic technician. During his studies at the Warsaw University, from 1990 to 1991, he worked at Central Europe Trust as an assistant consultant. He also worked at Polmot Holding Sp. z o. o. Between 1992 and 2000, he was employed at the Polish SEC as a deputy director of the Finance and Economic Analyses Bureau and then director of the Public Companies and Finance Department He supervised companies in respect of IPOs, information duties, finance reporting, public tender offers and significant blocks of shares. Between 2000 and 2003, he was the vice-president of the management board of the WSE. He supervised Information and Promotion, and Issuers Divisions and then Information Products, and Issuers Divisions. He co-drafted legislation on companies, bonds and public trading in securities. From June 2001 to March 2003 he was the chairman of the supervisory board of CETO S.A. He is an arbitrator at the Arbitration Court of the Polish Chamber of Commerce in Warsaw. He also serves as the chairman of the supervisory board of Wawel Hotel Development and was, till 30 June 2005, chairman of the supervisory board of BFL. Since 30 June 2005 he has been a member of the WSE Board. He is a member of Central Europe Board MasterCard. None of the above managing persons conducts any business on the outside of PKO BP SA that competes with the business of PKO BP SA. None of the above managing persons participates in any business competitive in respect of PKO BP SA as a partner in a partnership. None of the above managing persons is a member of a governing body of a company competing against PKO BP SA or a governing body of any other legal person competing against PKO BP SA. None of the above managing persons is registered in the Register of Insolvent Debtors.
