The Management Board of PKO BP SA submits an unofficial English translation of the current report No. 37/2009: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (“PKO BP SA”) hereby informs that on 14 September 2009 Mr. Zbigniew Jagiełło has been appointed by the Supervisory Board to the position of the President of PKO BP SA Management Board as of 1 October 2009 for the joint term of office of the board which has started on 20 May 2008. The Supervisory Board appointed Mr. Zbigniew Jagiełło the President of the Management Board from 1 October 2009 to the day of the approval by the Commission for Banking Supervision Mr. Jagiełło to be the President of PKO BP SA Management Board. According to the decision of the Supervisory Board Mr. Wojciech Papierak, the Vice-President of PKO BP SA Management Board, will cease to act as the acting chairman of the Management Board of PKO BP S.A. on 1 October 2009 Information about the appointed President of the PKO BP SA Management Board: Zbigniew Jagiełło, 45 Master of Engineering, having graduated from the Faculty of Computer Science and Management of Wrocław University of Technology, majoring in scientific and technical information systems. Also a graduate of the Executive MBA course run by the Gdańsk Foundation for Management Development, the University of Gdańsk and Rotterdam School of Management Erasmus University. He has been associated with the investment fund sector since 1995. First he worked for Pioneer Pierwsze Polskie Towarzystwo Funduszy Inwestycyjnych S.A., where he ran the regional office in Wrocław, and from November 1996 he was employed at PKO/Credit Suisse TFI S.A., first as the sales and distribution director and from 1998 as the Vice-President of the Management Board. He created the first bank network for selling investment funds. In July 2000 he performed the function of President of the Management Board of Pekao/Alliance Towarzystwo Funduszy Inwestycyjnych S.A. (which changed its name to Pekao TFI S.A. on 5 June 2001), until that society merged with Pioneer Pierwsze Polskie Towarzystwo Funduszy Inwestycyjnych S.A. on 3 July 2001. Since July 2001 he has been the President of the Management Board of Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych S.A. and also (since February 2005) President of the Management Board of Pioneer Pekao Investment Management S.A. and Chairman of the Supervisory Board of Pekao Financial Services Sp. z o.o. In the global structure of Pioneer Investments, he performed the function of Head of Distribution in the Central and Eastern Europe (CEE) region, supervising distribution and marketing activities, contacts with institutional clients and product development. He is also Chairman of the Board of the Chamber of Fund and Asset Management, Chairman of the Supervisory Board of Pekao Financial Services Sp. z o.o., Vice-Chairman of the Supervisory Board of Pekao Pioneer PTE S.A. and a member of the Supervisory Board of Pioneer Investment Fund Management Ltd. in Hungary, a member of the Supervisory Boards of two Czech companies: Pioneer Investment Company, a.s. and Pioneer Asset Management, a.s., and a member of the Supervisory Board of Pioneer Asset Management S.A.I. S.A. in Romania, as well a member of the Supervisory Board Ciech S.A. He received an Eagle award from Rzeczpospolita newspaper for 2007 and also won the “Polish Business Leader 2007” competition organised by the Business Center Club. He was awarded the Officer’s Cross of the Order of the Restitution of Poland by the President of the Republic of Poland and the Social Solidarity Medal for promoting the concept of socially responsible business. Mr. Zbigniew Jagiełło stated that on 14 September 2009 his activity as the President of the Management Board of Pioneer Pekao Investment Management S.A. is competitive to the business of PKO BP SA. He stated that he does not participate in any business competitive in respect of PKO BP SA as a partner in a partnership, he is a member of a governing body of a company competing with PKO BP SA and he is not a member of a governing body of any other legal person competing with PKO BP SA. Mr. Jagiełło stated that he will cease to lead a competitive to the business of PKO BP SA activity by the 1 October 2009. Mr. Jagiełło stated that on 14 September 2009 he is not registered in the Register of Insolvent Debtors.
