Legal grounds: Paragraph 5.1.3 of the Ordinance of the Minister of Finance on current and periodical information provided by issuers of securities dated 19 October 2005 The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (hereinafter „Bank”) hereby informs that on 30 July 2007 the Bank entered into Annex No. 2 to the Agreement for Delivery and Implementation of the Integrated Information System (IIS) of 18 August 2003 between PKO BP SA and Accenture Sp z o.o., Alnova Technologies Corporation S.L. and Softbank S.A., acting as the Consortium. The purpose of the Annex No. 2 is, among others, expanding the current scope of works related to the implementation of the Integrated Information System, resulting from the Bank’s decision to extend the functional scope of the information system being implemented. The need to provide the IIS with additional functionalities is also determined by changes in law and the growing business needs of the Bank. It also supposed to ensure the implementation of the Bank’s plans to modernise the customer service and upgrade the product offer. The Annex No. 2 provides for expanding the functionality of the system to, among others, the products related to the New Basel Capital Accord (Basel II)/International Accounting Standards, the Individual Pension Accounts, the PKO/CS Investment Funds, the foreign operations, the insurance products and expanding the functionality of the alternative distribution channels. The net remuneration due to the Consortium for the performance of works set out in the Annex No. 2 shall be USD 11,038,042 (say: eleven million and thirty eight thousand and forty two USD). Under the Annex No. 2 the mass implementation of the IIS shall be completed at the end of November 2008. The agreement was recognised as a significant agreement due to the fact that it covers a significant area of the basic scope of activity of the Bank and is a continuation of the agreement disclosed earlier in the Issuing Prospectus of the Bank and the Annex No. 1 to that agreement disclosed in the Current Report No. 42/2004. Within the last 12 months the Bank concluded, as part of an ongoing co-operation with a member of the Consortium, Assecco Poland S.A. (formerly Softbank S.A.), agreements in respect of the IT systems currently operated by the Bank, but the total value of all such agreements does not meet the criteria of a significant agreement.
