Legal basis: Paragraph 5.1.22 of the Ordinance of the Minister of Finance on current and periodical information provided by issuers of securities of 19 October 2005 The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (“PKO BP SA”) hereby informs that on 20 May 2008 the Supervisory Board adopted resolutions appointing:

  • Mr. Bartosz Drabikowski for the position of the Vice - President of the Bank’s Management Board, as of 20 May 2008,
  • Mr. Mariusz Klimczak for the position of the Vice - President of the Bank’s Management Board, as of 20 May 2008,
  • Mr. Tomasz Mironczuk for the position of the Vice - President of the Bank’s Management Board, as of 20 May 2008,
  • Mr. Krzysztof Dresler for the position of the Vice - President of the Bank’s Management Board, as of 1 July 2008,
  • Mr. Wojciech Papierak for the position of the Vice - President of the Bank’s Management Board, as of 1 July 2008,
  • Mr. Mariusz Zarzycki for the position of the Vice - President of the Bank’s Management Board, as of 1 September 2008.

According to the adopted resolutions all above mentioned persons are appointed for the above positions for the joint term of office of the board which has started on 20 May 2008. Information about appointed members of the Management Board: Bartosz Drabikowski Bartosz Drabikowski (38) graduated from the Technical University of Łódź (Politechnika Łódzka) and completed post-graduate courses at the National School of Public Administration (Krajowa Szkoła Administracji Publicznej), the Warsaw School of Economics (Szkoła Główna Handlowa), the Academy of Diplomacy (Akademia Dyplomacji) and Illinois Executive MBA University of Illinois at Urbana – Champaign. He attended internships at Deutsche Bundesbank, Deutsche Börse AG, Deutsche Ausgleichsbank and Rheinische Hypothekenbank. He was a fellow of The German Marshall Fund of the United States and attended many trainings held by the European Commission and the International Monetary Fund. He started his professional career at the Ministry of Finance where he was responsible for, among others, regulation of and supervision over the financial market institutions, predominantly in the banking and capital sectors. He also drafted the financial services sector development strategies, both in Poland and in the Common Market. His positions at the Ministry of Finance ranged from that of the Councillor, Vice-Director to the Director of the Financial Institutions Department. Since 2006 he has been a member of the Management Board of Krajowa Izba Roliczeniowa S.A. (the National Clearing House) in charge of financial matters, new products in the area of electronic payments, security and risk management, analyses and administration. For a few years he was a member of the Banking Supervisions Commission (Komisja Nadzoru Bankowego), the Securities and Exchanges Commission (Komisja Papierów Wartościowych i Giełd) and a deputy member of the Payment System Council at the National Bank of Poland (Narodowy Bank Polski). He was a member of many EU institutions e.g. the Financial Services Committee of the Council of the European Union, the European Banking Committee and the European Securities Committee of the European Commission. He has many years of experience in managing financial institutions. He was a member of the Supervisory Board of the National Depository for Securities (Krajowy Depozyt Papierów Wartościowych S.A.), a member of the Supervisory Board of the Banking Guarantee Fund (Bankowy Fundusz Gwarancyjny) and a member of the Supervisory Board of the Polish Securities Printing Works (Polska Wytwórnia Papierów Wartościowych S.A.) Mariusz Klimczak Mariusz Klimczak (40), graduated from the Adam Mickiewicz University in Poznań, M.Sc. in Physics and the Post-Graduate School of Accounting at the Poznań University of Economics. In the years 1995-1996 he was the president of the Management Board of Amper Sp. z o.o. with its registered office in Karlino. In the years 1996-2006 he worked for PKO BP. He was the Chief Accountant in the Central Branch in Poznań, the Deputy Financial Director in the Central Branch in Koszalin, the Deputy Sales Director in the Regional Branch in Szczecin and the Director of the newly created Regional Corporate Branch in Szczecin. In 2006 he left to work for BRE Bank S.A. where he has been the Director of the Corporate Branch in Warsaw. He is a member of the Supervisory Board of PL Energia S.A. and CP Energia S.A. Since 15 July 2007, a Vice - President of the Management Board of PKO BP SA. Tomasz Mironczuk Tomasz Mironczuk (38) graduated from the Department of Economics at the Białytstok Branch of the Warsaw University in 1995. In 1994 he earned M.Sc. in Economics at the Central European University, Prague College, Economics Department. In the years 1994 – 2006 he attended numerous trainings in the area of securitisation, risk management and financial instruments. He started his professional career in 1994 at the Treasury Department of Polski Bank Rozwoju. He was also the Director of the Financial Instruments Trading Department. In the years 1998 – 2001 he worked at BRE Bank S.A. as the Vice-Director of the Derivatives Division at the Monetary Operations Department and as the Vice-Director of the Assets and Liabilities Management Division at the Monetary Operations Department. In the years 2001 – 2008 he worked at Bank BPH S.A. as the Director of the Treasury Area – Treasurer. In the years 2002 – 2006 he was the member of the Supervisory Board of MTS CeTO S.A., and since 2006 he has been the Chairman of the Supervisory Board of MTS CeTO S.A.a. Krzysztof Dresler Krzysztof Dresler (35) graduated from the Department of Finance of Banking of the Warsaw School of Economics (Szkoła Główna Handlowa). In 1996 he joined the National Depository for Securities (Krajowy Depozyt Papierów Wartościowych S.A.) to work on the system of managing the risk related to derivatives introduced to trading on the Warsaw Stock Exchange (Giełda Papierów Wartościowych w Warszawie S.A.). Since 1998 he has worked for the Warsaw School of Economics specialising in the money and currency policies and the financial markets globalisation. In March 2001 he joined PKO BP as the Director of the Financial Risk Department, in September 2002 he was appointed the Director of the Market Risk Department and between March 2005 and the beginning of 2007 he was the Director of the Planning and Controlling Department. At PKO BP he was in charge of financial risk management, preparing the bank’s financial plans, developing the methods of managing the financial result and equity as well as for supervising the pricing system, development of the internal settlements system, changing the funds transfer pricing and designing the products and clients profitability evaluation principles. Since March 2007 he has worked for Xelion.Doradcy Finansowi, a member of the UniCredit Group, where as the Chief Financial Officer he was in charge of finance, planning, controlling, the financial advisors network remuneration schemes as well as accounting and HR and then since May 2008 at Pekao S.A. as the Chief Executive Officer and the Director of the Assets and Liabilities Management Department. He attended numerous seminars and conferences held in Poland and abroad. He attended an internship at the Depository Trust Company in New York. He completed a course for investment advisors and Chartered Financial Analyst (CFA) and a course for Chief Financial Officers. He also completed a course for managers based on the MBA programme „Management for business leadership” prepared by IRB and the University of New Brunswick. He is a member of the Global Association of Risk Professionals and the Professional Risk Management International Association as well as the Polish Association of Business Economists. Wojciech Papierak Wojciech Papierak (41), graduated from the Law and Administration Faculty of Łódź University. Positions held: from 1993 to 1995 he was assistant in the Credits Division of Polski Bank Inwestycyjny S.A.; from 1995 to 1998 he was in Powszechny Bank Gospodarczy in Łódź: Chief Specialist in the Retail Banking Department and acting manager of the Customer Service Division in the Building Society, part of the then created Pekao SA Group; from 1998 to 2000 he was deputy director and next director of the Retail Banking Department in PKO BP; from 2000 to 2003 he worked for BRE BANK S.A. as head of the Commercial Retail Management Department and head of the Operational Retail Support Department; from 2002 to 2006 he worked in the Settlement and Information Centre CERI sp. z o.o., he held positions of a Member of the Management Board, Managing Director and later President and CEO. Since November 2006, a member of the Management Board of Nordea Bank Polska S.A., head of Operations, Logistics and Security. From 1999 to 2002 he was member of the Supervisory Board of Biuro Informacji Kredytowej S.A. in Warsaw. From 2001 to 2003 he was vice-chairman of the Supervisory Board of Bank Częstochowa S.A. in Częstochowa. Mariusz Zarzycki Mariusz Zarzycki (41) graduated from the Department of Economics at the Łódź University (Uniwersytet Łódzki) in 1991. He also graduated from the University of Stockholm where he specialised in Banking and Finance. He started his professional career at Bank Przemysłowy S.A. in Łódź (the Legal-Organisational Department, the Credit Department and the IT Division). In the years 1993 - 1998 he worked at Powszechny Bank Gospodarczy SA – Grupa Pekao SA as the Vice-Director of the Organisational Department and then as the Director of the Back Office Department, the Banking Technology Department, and the IT Department. He participated in consolidation of Grupa Pekao S.A. as a member of the IT Team. In the years 1998 – 2008 he worked at BRE Bank S.A. as, among others, Vice-Director of the IT and Telecommunications Department, the Director of the Retail Banking IT Department and the Director of the IT Development Department. He was in charge of IT and finance in the process of development of the new retail bank and the head of the project of implementation of the new basic system for the corporate and investment banking divisions at BRE Bank S.A. Now he is the IT Director. Since 2002 he has been the President of the Management Board of ServicePoint (an IT company being a subsidiary of BRE Bank). The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna informs: Mr. Bartosz Drabikowski, Mr. Mariusz Klimczak and Mr. Tomasz Mironczuk do not conduct any business outside of PKO BP SA competitive to the business of PKO BP SA. None of the above persons participates in any business competitive in respect of PKO BP SA as a partner in a partnership. None of above persons is a member of a governing body of a company competing with PKO BP SA or a member of any other legal person competing with PKO BP SA. None of above persons is registered in the Register of Insolvent Debtors. Mr. Krzysztof Dresler:
