Legal grounds: Paragraph 5.1.22 of the Regulation of the Minister of Finance dated 19 February 2009 on current and periodic information published by issuers of securities and on the conditions under which such information may be recognized as being equivalent to information required by the regulations of law of a state which is not a member state The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (“PKO Bank Polski SA” or “Bank”) hereby informs that on 16 May 2011 the Supervisory Board adopted resolution appointing: - Mr. Andrzej Kołatkowski for the position of the Vice - President of the Bank’s Management Board, responsible for the matters of the risk management and collection for the joint term of office of the board which will start at the day of the PKO Bank Polski SA Ordinary General Meeting approving the financial statements of the PKO Bank Polski SA for 2010, under the condition of obtaining the approval of Financial Supervision Authority. Information about appointed member of the Management Board: Andrzej Kołatkowski He graduated from the Faculty of Finance and Statistics at the Warsaw School of Economics, where he specialised in econometrics. His overall grade was "very good". Since 2003 he has been working in PKO BP SA as the Director of the Credit Risk Assessment Department, and since 2009 he has been working as the Managing Director of the Banking Risk Division. In the years 2002–2003 he worked as the President of the Management Board of Bank Współpracy Europejskiej SA. In the years 1998–2001 he worked as the President of the Management Board of Investment Funds Association of Bank Handlowy SA (Towarzystwo Funduszy Inwestycyjnych Banku Handlowego SA). During this period he also held the position of the President of the Polish Group of the Investment Funds Associations (Stowarzyszenie Towarzystw Funduszy Inwestycyjnych w Polsce). In the years 1992–1998 he was a member of the Management Board of Bank Handlowy w Warszawie SA. In the years 1989–1992 he worked as the Director of the Financial Policy Department in the Ministry of Finance. During this period he co-organised first issues of the treasury securities. In the years 1988–1989 he worked in the Planning Committee at the Council of Ministers. In the years 1980–1988 he worked in the Chemical Industry Economics Institute (Instytut Ekonomiki Przemysłu Chemicznego) and the National Economy Institute (Instytut Gospodarki Narodowej). Mr. Andrzej Kołatkowski declared that: - does not conduct any business activity outside of PKO Bank Polski SA competitive to the business of PKO Bank Polski SA., - does not participate in any business competitive in respect of PKO Bank Polski SA as a partner in a partnership., - he is not a member of a governing body of a company competing with PKO Bank Polski SA - he is not a member of a governing body of any other legal person competing with PKO Bank Polski SA., - is not registered in the Register of Insolvent Debtors.
