Legal grounds: Art 70.3 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies, dated 29 July 2005. The report: The Management Board of PKO BP SA hereby informs that the shareholders attending the Ordinary General Meeting of PKO BP SA on 18 April 2006 held 585,285,387 voting rights, which means that the Bank’s share capital of 1,000,000,000 shares each of which confers one voting right, was represented at the Ordinary General Meeting in 58.53%. At least 5% of the voting rights at the General Meeting was held by the State Treasury. The State Treasury held 515,087,146 voting rights, i.e.,88.01% of the voting rights at the General Meeting, and 51.51% of the aggregate number of voting rights. When taking into account the companies in respect of which the State Treasury is, either directly or indirectly, a dominant entity, the State Treasury held 531,937,146 voting rights, i.e. 90.89% of voting rights at the Ordinary General Meeting, and 53.19% of the aggregate number of voting rights. The following are the shareholders attending the Ordinary General Meeting in respect of whom the State Teasury is a dominant entity:
- Otwarty Fundusz Emerytalny PZU „Złota Jesień” – 8,800,000 voting rights, i.e., 1.5% of voting rights at the General Meeting, and 0.88% of the aggregate number of voting rights,
- Powszechny Zakład Ubezpieczeń S.A. – 2,600,000 voting rights, i.e., 0.44% of voting rights at the General Meeting, and 0.26% of the aggregate number of voting rights,
- Powszechny Zakład Ubezpieczeń na Życie S.A. – 4,700,000 voting rights, i.e., 0.8% of voting rights at the General Meeting, and 0.47% of the aggregate number of voting rights,
- PZU Fundusz Inwestycyjny Otwarty Akcji Krakowiak – 300,000 voting rights, i.e., 0.05% of voting rights at the General Meeting, and 0.03% of the aggregate number of voting rights,
- PZU Specjalistyczny Fundusz Inwestycyjny Otwarty Stabilnego Wzrostu Mazurek – 450,000 voting rights, i.e., 0.08% of voting rights at the General Meeting, and 0.045% of the aggregate number of voting rights.
