Legal basis:

Par. 29.3 of  The Warsaw Stock Exchange Rules

The report:

The Management Board of PKO Bank Polski S.A. ("Bank") hereby informs that  the Bank decided not to apply the rule stipulated in Section IV.10 of the Code of Best Practice for WSE Listed Companies according to which Bank has to provide electronic means of communication for the participation of shareholders in a general meeting.

The decision regarding non-application of the rule inter alia with respect to real – time bilateral communication, where shareholders may take the floor during a general meeting from a location other then the general meeting, was taken on account of the risk of legal – as well as organizational – and technical nature related to providing shareholders this kind of communication, which may negatively impact the course of the general meeting.

In Bank’s opinion currently binding principles of participation in the Bank general meeting enable shareholders to effectively exercise all the rights arising from their shares and secure the interests of all shareholders.

Bank does not rule out a possibility of applying this rule in the future based on improved by public companies market standards.
