In connection with the publication on 31.10.2006 of its interim financial statements of the PKO Bank Polski SA Group for the third quarter of 2006, PKO BP SA encloses an unofficial English translation thereof.

The Management Board of PKO BP SA notifies that 19 October 2006, an application was filed to the National Securities Deposit to assimilate, on 6 November 2006, common bearer shares recorded at KDPW under PLPKO0000032, in the amount of 105,000,000 with common bearer shares recorded at KDPW under PLPKO0000016, in the amount of 385,000,000.

The Management Board of PKO BP SA hereby informs that Mr. Andrzej Podsiadło resigned from the position of the President of PKO BP SA Management Board as of 29 September 2006. Supervisory Board appointed Mr Sławomir Skrzypek the President of PKO BP SA Management Board as of 29 September 2006 until the election of the President of the Management Board, but not later than until 30 November 2006.

In connection with the notification dated 29.6.2006 of the delay in publishing confidential information, the Management Board of PKO BP SA hereby informs that on 29 June 2006, a letter of intent was entered into by and between PKO BP SA and the National Fund for Environmental Protection and Water Management for the purchase of shares in Bank Ochrony Środowiska S.A. in Warsaw

The Management Board of PKO BP SA hereby informs that on 19 September 2006 had registered capital increase of Hotel Jan III Sobieski Sp. z o.o. with its seat in Warszawa in which Bank acquired 145,361 shares of PLN 540 value each and of total nominal value amounts PLN 78,494,940 (acquisition price was equal as nominal value of the shares).
