Legal basis:

Paragraph 16 of the Regulation of the Minister of Finance on 29 March 2018 on the current and periodic information published by issuers of securities and the conditions for considering as equivalent the information required by law of a non-member state

the Report:

With regard to the report No. 52/2024 concerning the issue of subordinated capital bonds with a total nominal value of PLN 1,500,000,000 (the issuance of notes was carried out under Programme for the issue of own bonds on the domestic market), the Management Board of PKO Bank Polski S.A. (“Bank”) informs as follows:

1. The total costs which were included in the issuance costs of 10 years subordinated capital bonds divided into the following categories:

1. costs of preparing and conducting the offer: PLN 76,816.24,
2. costs of remuneration of underwriters: N/A,
3. costs of promotion: N/A,
4. costs of prospectus and supplement preparation including advisory costs: PLN 60,823.50.

Total expenses mentioned above paid for subscriptions of bonds amounted to PLN 137,639.74 gross (VAT included).

2. Cost recognition in the accounting records and financial statement of the issuer is as follows:

Expenses related to the work on the preparation and conduct of the offering and expenses incurred for legal advice were settled over time, respectively - on a straight-line basis until the end of 2024 (part of the costs listed in letter a), over the entire life of the issued bond (part of the costs listed in letter a and the costs listed in letter d).

3. The average cost of subscription per one subscribed bond: PLN 45.88.
