The report:

The Management Board of PKO Bank Polski S.A. (“Bank”) hereby informs that on 28 June 2024, pursuant to Art. 385 § 1 of the Commercial Companies Code, the Bank’s Annual General Meeting (“AGM”) appointed for a new term of office the following members of the Bank’s Supervisory Board:

1. Maciej Cieślukowski,

2. Jerzy Kalinowski,

3. Hanna Kuzińska,

4. Andrzej Oślizło,

5. Marek Panfil,

6. Paweł Waniowski,

7. Katarzyna Zimnicka-Jankowska.

The Bank hereby informs that the State Treasury, as the Eligible Shareholder, pursuant to paragraph 11.1 of the Bank’s Articles of Association set the number of members of the Supervisory Board for 11 persons.

The State Treasury as the Eligible Shareholder, pursuant to paragraph 12.1 of the Bank’s Articles of Association, appointed:

1. Katarzyna Zimnicka - Jankowska - for the position of the Chairman of the Supervisory Board.

2. Paweł Waniowski - for the position of the Deputy Chairman of the Supervisory Board.

Biographical notes of appointed members of the Supervisory Board constitute the attachment to this report.

Moreover, the Bank hereby informs that, according to the information provided, all members of the Supervisory Board (with the exception of Ms Katarzyna Zimnicka-Jankowska) appointed by the AGM don’t carry out any activities in competition with the Bank, in particular they don’t participate in any business competitive in respect of the Bank as a partner in a partnership; they don’t hold the position of a member of a body of any other legal entity which is in competition with the Bank or carry out business activities on one’s own in competition with the Bank.

Ms Katarzyna Zimnicka-Jankowska is engaged in competitive activities as a member of the supervisory board of Bank Pocztowy S.A. (her candidacy for the supervisory board of Bank Pocztowy S.A. was indicated by PKO Bank Polski S.A.). Otherwise, Ms Katarzyna Zimnicka-Jankowska does not conduct any activity competitive to the Bank.

None of the members of the Supervisory Board appointed by the AGM is entered in the Register of Insolvent Debtors.
