Changes in the composition of the Management Board of PKO Bank Polski S.A.

Legal basis:

Paragraph 5.4 and 5.5 of the Regulation of the Minister of Finance on 29 March 2018 on the current and periodic information published by issuers of securities and the conditions for considering as equivalent the information required by law of a non-member state

The report:

The Management Board of PKO Bank Polski S.A. (the “Bank”) informs that the Bank’s Supervisory Board dismissed Mr. Rafał Kozłowski from the Bank's Management Board. At the same time, the Supervisory Board decided to appoint Mr. Bartosz Drabikowski to the Bank’s Management Board as its Vice President for the current joint term of office of the Bank's Management Board, which started as of 3 July 2020.

Information of the person newly appointed to the Bank's Management Board

Bartosz Drabikowski 

He was Deputy CEO, CFO at PKO Bank Polski SA from 2008 to 2017.

In 2015-2016, he was a Member of the Board of Directors of Visa Europe and a Member of the Risk, Audit and Finance Committee. In 2006-2008, he was a member of the Management Board of Krajowa Izba Rozliczeniowa SA (National Clearing House) responsible for finance, new products in the area of electronic payments, security and risk management.

He has many years’ experience in managing financial institutions. He has chaired the Supervisory Boards of companies in the PKO Bank Polski SA Group: Inteligo Financial Services SA, eService SA, PKO BP Faktoring SA. He was a member of the Supervisory Board of Krajowy Depozyt Papierów Wartościowych SA (Central Securities Depository of Poland), a member of the Council of the Bank Guarantee Fund, and a member of the Supervisory Board of Polska Wytwórnia Papierów Wartościowych SA (Polish Security Printing Works) and from 2018 – 2021 he was CEO Advisory Board Member in PHN S.A.

He began his professional career at the Ministry of Finance, where he was responsible for, among other things, regulations and supervision over financial market institutions, mainly the banking sector and capital market. He has also prepared strategies for the development of the financial services sector both in Poland and within the common market of the European Union. At the Ministry of Finance, he held the positions of minister counsellor, deputy director and Director of the Financial Institutions Department.

For several years he was a member of the Commission for Banking Supervision, a member of the Securities and Exchange Commission, and a deputy member of the Payment System Board at the National Bank of Poland. He was also a member of many institutions of the European Union: among other things, he was a member of the Financial Services Committee (the European Council), a member of the European Banking Committee and the European Securities Committee (the European Commission).

Bartosz Drabikowski graduated from the Harvard Business School where he completed an Advanced Management Programme. He is also a graduate of the University of Illinois Executive MBA at Urbana- Champaign, Warsaw School of Economics, Lodz University of Technology, National School of Public Administration, and the Academy of Diplomacy (as part of the Polish Institute of International Affairs).

Bartosz Drabikowski declared that:

  • he does not conduct any business activities competitive to the Bank;
  • he is not a partner in any partnership, civil law partnership or a company competing with the Bank;
  • he is not a member of a body of any other legal person competing with the Bank;
  • he is not listed in the Register of Insolvent Debtors.
