List of shareholders holding at least 5% of the number of voting rights at the Extraordinary General Meeting of PKO Bank Polski S.A. convened for 17 September 2019

Legal grounds:

Article 70.3 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and Public Companies, dated 29 July 2005.

The report:

The Management Board of PKO Bank Polski S.A. (“Bank”) hereby informs that the shareholders attending the Extraordinary General Meeting (“EGM”) convened for 17 September 2019 held 833,902,273 voting rights while voting on the first resolution and 834,220,076 voting rights while voting on the other resolutions. It means that the Bank’s share capital consisting of 1,250,000,000 shares and each of them confers one voting right, was represented at the EGM in 66.71% while voting on the first resolution and 66.74% while voting on the other resolutions.

 At least 5% of the voting rights at the EGM was held by:

  1. the State Treasury represented by the Prime Minister, which held 367,918,980 voting rights, i.e., 44.12% of the voting rights while voting on the first resolution at the EGM   (44.10% of the voting rights while voting on the other resolutions), and 29.43% of the aggregate number of voting rights;
  2. Nationale – Nederlanden Otwarty Fundusz Emerytalny and Nationale – Nederlanden Dobrowolny Fundusz Emerytalny which held respectively 90,000,000 and 30,000 voting rights, i.e., together 10,80% of the voting rights while voting on the first resolution at the EGM (10.79% of the voting rights while voting on the other resolutions), and 7.20% of the aggregate number of voting rights;
  3. AVIVA Otwarty Fundusz Emerytalny AVIVA Santander, which held 86,600,000 voting rights, i.e., 10.38% of the voting rights while voting on the first resolution at the EGM (10.38% of the voting rights while voting on the other resolutions), and 6.93% of the aggregate number of voting rights;
  4. Otwarty Fundusz Emerytalny PZU "ZŁOTA JESIEŃ", which held 53,000,000 voting rights, i.e., 6.36% of the voting rights while voting on the first resolution at the EGM (6.35% of the voting rights while voting on the other resolutions), and 4.24% of the aggregate number of voting rights.
